(a) to the extent caused by the Customer’s failure to comply with its obligations under these Conditions; or

(1) Notwithstanding risk in the Goods passing to the Customer in accordance with condition 3(4) of these Conditions the Goods shall remain the sole and absolute property of Soleaero and title to and legal and equitable ownership of the Goods shall not pass to the Customer until payment is received by Soleaero (in cash or cleared funds) of all monies due from the Customer to Soleaero in respect of the Goods in question.
(2) Until ownership in the Goods has passed to the Customer it shall:
(a) hold the Goods on a fiduciary basis for Soleaero; (b) store the Goods (at no cost to Soleaero) separately from all other goods of the Customer or any third party in such a way that they remain readily identifiable as Soleaero’ property;
(c) not destroy, deface or obscure any identifying mark or packaging on or relating to the Goods; and
(d) maintain the Goods in satisfactory condition and keep them insured on Soleaero’ behalf for their full price against all risks to the reasonable satisfaction of Soleaero. On request the Customer shall produce the policy of insurance to Soleaero.
(3) The Customer may use or re-sell the Goods in the ordinary course of its business prior to the passing of title, but the Customer’s right to do so shall terminate immediately if:

(3) Soleaero shall be entitled to recover payment for the Goods notwithstanding that ownership of any of the Goods has not passed from Soleaero.
(4) The Customer grants Soleaero, its agents and employees an irrevocable licence at any time to enter any premises where the Goods are stored or where they are reasonably thought to be stored in order to inspect them, or, where the Customer’s right to possession has terminated, to repossess them.
(5) Where Soleaero is unable to determine whether any Goods are the goods in respect of which the Customer’s right to possession has terminated, the Customer shall be deemed to have sold all goods of the kind sold by Soleaero to the Customer in the order in which they were invoiced to the Customer.
(6) On termination of the Contract, howsoever caused, Soleaero’ (but not the Customer’s) rights contained in this condition 4 shall remain in effect.

(6) If payment should not be made in accordance with this condition 5, Soleaero will be entitled to charge (in addition to interest and or any legal costs ordered by a Court and without prejudice to any other rights or remedies available to Soleaero) all related costs and expenses (including, but not limited to, administrative costs) incurred by Soleaero in taking steps to secure payment.
(7) Unless otherwise stated, all payments are to be made in sterling to Soleaero’s address as stated on the invoice.

(8) Notwithstanding condition 7(1) the Customer acknowledges that Soleaero does not manufacture the Goods. As such Soleaero is not able to give any warranty as to the ongoing performance of the Goods and the Customer shall only therefore be entitled to the benefit of any such warranty or guarantee as is given by the manufacturer to Soleaero and which Soleaero hereby assigns to the Customer in so far as it is able.
